Welcome to Naples Thrive | Business Referral Network (the "Service"). These Terms of Service ("Terms") govern your access to and use of our website and associated platform (collectively, the "Service"), including any features, profiles, business listings, member network, member map, and referral services. By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.
We encourage you to review these Terms periodically, as they may be updated.
The Service is intended exclusively for local business owners and professionals in the Naples, FL area. You represent and warrant that:
We reserve the right to verify your business information or suspend/terminate any account that does not meet these eligibility requirements.
To access most features, you must create an account and complete a profile. You agree to provide accurate, current, and complete information, including your name, email, phone, city, state, street address (for geocoding only), bio, experience, niches, social links, and profile/header images.
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use.
All profile information you provide (except your full street address, which is never displayed publicly unless you opt in) may be visible to other authenticated members or the public, depending on your settings. You should only include information you are comfortable sharing.
By creating an account, you consent to be contacted by Stephanie A. Smith P.A. using the contact information you provide, regarding both the network you subscribed to and real estate related content promoting her own real estate business. You may opt out of these communications at any time.
Any engagement in business between you and another user discovered through this platform is solely at the discretion and risk of the individual person choosing to engage. Elite Retreats acts as a referral network only — we do not broker, guarantee, or oversee transactions, agreements, or relationships formed between members.
Access to the Service is provided through membership. We reserve the right to introduce, modify, or adjust membership tiers and pricing at any time. Any changes will be communicated in advance and will take effect at your next renewal period, if applicable. Continued use of the Service after any changes constitutes acceptance of the updated terms.
Annual Subscription: Access to the Service requires an annual paid membership, processed through Stripe.
Billing: Your subscription will be billed annually from the date of enrollment. You authorize recurring charges to your payment method on file.
No Refunds: All membership fees are non-refundable. If you cancel or delete your account before the end of a given subscription period, you will not receive a prorated refund for any unused time.
Renewal: Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date. We will send you a renewal reminder email prior to your renewal date.
Price Changes: We reserve the right to adjust membership pricing. Any price changes will be communicated in advance and will take effect at your next renewal. Continued use after a price change constitutes acceptance of the new price.
Chargebacks & Membership Termination: By becoming a paid member, you agree that any chargeback, payment dispute, or reversal initiated against a membership fee or related payment will result in the immediate and permanent termination of your membership. These Terms of Use will be submitted as Exhibit A in response to any such chargeback or dispute. In addition, you will be banned for life from the Network and all associated networks, platforms, and communities operated by Stephanie Smith or her affiliated entities. Illegitimate chargebacks cause real harm to small businesses. We are always willing to discuss and resolve any legitimate billing concern directly and in good faith—please contact us so we can handle the matter personally rather than through a chargeback.
You retain ownership of the content you submit (profiles, bios, photos, business listings, descriptions, etc.). By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to host, display, distribute, and make it available on the Service as permitted by your settings.
You agree not to use the Service to:
Violation of these rules may result in suspension or termination of your account without refund.
We may, but are not obligated to, monitor or remove content that violates these Terms. You are solely responsible for your interactions with other members. We are not liable for any disputes, transactions, or issues arising between users.
Independent Members Disclaimer: Any interaction, referral, collaboration, transaction, or purchase between members is strictly between those members and is in no way a reflection of, endorsement by, or responsibility of Naples Thrive | Business Referral Network. Each member acts of their own free will and must exercise independent judgment and due diligence before doing business with, referring, hiring, or purchasing anything from any other member. We do not vet, verify, guarantee, or supervise members, their services, or their offerings.
By creating an account and providing your contact information, you consent to be contacted by Stephanie regarding the network you subscribed to, as well as to receive real estate related content and communications promoting her own real estate business. You may opt out of promotional communications at any time via the unsubscribe link in any email or by contacting us directly. Transactional and service-related messages (such as billing, renewal, and account notices) will continue while your account remains active.
All business listings are subject to review and approval. The Network reserves the right to remove or modify any listing at its sole discretion. You represent that all information in your listing is accurate and that you have the right to list the business. Members may save other members and businesses to their referral network for easy access.
As a member, your profile information — including your name, city, state, bio, photo, social media links, and niches — will be visible to other authenticated members in the network.
The Service includes an interactive member map. Participation in the map is optional and requires your explicit consent by checking the map authorization checkbox in your profile settings. If you opt in, your street address will be geocoded using Google Maps to place a location pin. You may opt out at any time by unchecking the authorization, which will remove your pin from the map. If you do not opt in, your profile will appear in the member network only.
You may opt out of the map feature or update/remove your profile information at any time through your account settings.
The Service, including its design, logos, text, graphics, software, and underlying technology, is owned by us or our licensors and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.
You grant us permission to use your profile photo, name, and business name in promotional materials highlighting the network.
We may suspend or terminate your account at any time, with or without notice, for violation of these Terms, inactivity, or any other reason at our sole discretion. Upon termination, your right to use the Service will immediately cease.
You may request deletion of your account by contacting us at the email below. Upon deletion, all of your data will be permanently removed from our systems. This action is irreversible — once deleted, your data cannot be recovered.
Provisions of these Terms that by their nature should survive termination (including disclaimers, limitations of liability, and indemnification) will remain in effect.
The Service integrates with third-party services, each governed by their own terms and policies. We are not responsible for the practices or policies of third-party services.
The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that any content is accurate or reliable. We do not guarantee the accuracy, completeness, or reliability of any member profiles, business listings, or content posted on the Service. We do not track credentials or verify the credentials, licensing status, or professional standing of members at any given time and we make no representations about any member's qualifications.
We are not a party to any transactions facilitated through the Service and have no liability for any deals, referrals, or disputes between members. It is the user's sole decision to engage with or contact other users inside or outside the Service. Elite Retreats is not responsible for any negative experiences, disputes, losses, damages, or outcomes that may result from your decision to engage in business with anyone discovered on this website. This includes, but is not limited to, property rentals, referrals, partnerships, or any other commercial arrangement initiated through the platform.
By creating an account or a business profile, you acknowledge that any decision to engage in business with any individual, company, or professional discovered through the Service is entirely your own choice. Naples Thrive | Business Referral Network is not responsible for any negative experiences, disputes, losses, or damages that may result from your decision to engage in business with anyone found on the website.
Any interaction, transaction, or business dealing between users is solely between those users and is no reflection on the Network. Membership or a listing on the Service is not an endorsement, recommendation, guarantee, or verification of any member, business, product, or service. Each user must exercise their own free will and perform their own due diligence before entering into business with, or purchasing anything from, anyone found through the Service.
To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, even if advised of the possibility of such damages. Our total liability shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
You agree to indemnify, defend, and hold harmless Naples Thrive | Business Referral Network, Stephanie Smith, and our affiliates from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from:
We may modify the Service or these Terms at any time. Material changes will be notified by posting the updated Terms with a new Effective Date and, where feasible, by email. Your continued use of the Service after changes constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the State of Florida and applicable U.S. federal laws, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Collier County, Florida, and you consent to the personal jurisdiction of such courts.
